Abstract
Twenty five years ago the Report of the Committee on the Financial Aspects of Corporate Governance was published. Have the elaboration, review and application of the resulting code and the work of subsequent committees added value or resulted in a loss of focus and too many detailed rules? Has prescription replaced discretion and the thinking application of principles to particular circumstances? Is there now too much emphasis upon ticking boxes on checklists, compliance and the avoidance of risk? Is enough attention given to innovation and entrepreneurship? Why don't more boards justify doing something different that is right for them? This theme paper for the 2017 and 17th London Global Convention on Corporate Governance and Sustainability examines issues, trends and perspectives and raises a variety of questions covering areas such as managing risk and preventing fraud; shareholder and stakeholder engagement, relationships and responsibilities; widening perspectives and involvement; building better boards; legitimacy; boardroom issues and challenges; sustainability and future prospects.
