Abstract

Boards operate in a global business ecosystem which is replete with challenges, risks and existential threats as well as pressing requirements, new possibilities and unprecedented opportunities, especially for those willing to collaborate with others in assembling the capabilities needed to address them. The purpose of this Theme Paper is to explore areas for discussion at the 2024 Annual Directors’ Conclave, the theme of which is building inclusive boards and new trends: pursuing quality and good corporate governance. It suggests issues and questions that directors, speakers and other participants might wish to consider ahead of the event and discuss in New Delhi. The paper includes references to recent investigations and studies related to the conclave’s agenda. Areas examined include ensuring quality and good corporate governance, shaping corporate governance for effective value creation and growth, influencing the desirability and nature of global growth, the role of independent directors and the global business ecosystem, ESG and sustainability compliance, inculcating the idea of green business through boards, demonstrating ESG commitment and progress, AI in the boardroom: challenges and opportunities, enhancing diversity and representation in the boardroom, and building diverse, ethical and inclusive future boards. The Annual Directors’ Conclave represents an opportunity for responsible directors to reflect, take stock and discuss issues and options for enhancing board contributions with their peers.
